*HDFC Bank update: No evidence found by external law firm*
- HDFC Bank announced the completion of an independent legal review conducted by external law firms following the concerns raised by former Independent Director Atanu Chakraborty in his resignation letter. After a three-month review involving thousands of documents, Board and committee minutes, and interviews with independent directors and senior management, the law firms concluded that Mr. Chakrabortyโs allegations were not substantiated. #ym
- *Key findings:* No evidence was found in Board or committee records supporting his concerns. Mr. Chakraborty had opportunities to record any dissent or ethical concerns in meeting minutes but did not do so.
- Interviews with directors and senior management did not corroborate his statements.
- No contemporaneous evidence showed that he had raised objections regarding the Dubai matter or any other Board decisions.
- Despite repeated requests, Mr. Chakraborty did not participate in the legal review.
- The external law firms found no factual basis to support Mr. Chakrabortyโs statements, and the contemporaneous evidence was inconsistent with the allegations made in his resignation and subsequent public comments.
- *View:* The conclusion of the independent legal review removes a key governance overhang for HDFC Bank. The review found no evidence supporting the allegations raised by the former independent director, which should help restore investor confidence and reduce governance-related concerns
