| 5 | 1. 28 U.S.C. § 1332(c)(1) — Corporate Citizenship
Congress provides:
“a corporation shall be deemed to be a citizen of every State and foreign state by which it has been incorporated”
The statute further recognizes the state or foreign state where the corporation maintains its principal place of business.
Significance: A corporation may possess legally recognized citizenship for federal diversity-jurisdiction purposes.
This establishes that corporate citizenship is a recognized legal classification. It does not establish that every United States citizen is a corporation.
2. 28 U.S.C. § 3002(15) — Definition of United States
Congress defines the term United States as:
(A) a Federal corporation;
(B) an agency, department, commission, board, or other entity of the United States; or
(C) an instrumentality of the United States.
Significance: Congress expressly includes a federal corporation within this definition.
The opening qualification, “As used in this chapter,” limits the definition to Chapter 176, governing federal debt collection procedures. It does not redefine the United States for every constitutional or statutory purpose.
3. 28 U.S.C. § 3002(10) — Definition of Person
Congress defines person to include:
(A) a natural person (including an individual Indian);
(B) a corporation;
(C) a partnership;
(D) an unincorporated association;
(E) a trust; or
(F) an estate.
Significance: Congress expressly distinguishes natural persons, corporations, trusts, and estates as categories within the statutory definition of person.
These categories may have different ownership arrangements, legal capacities, and obligations.
4. 28 U.S.C. § 3002(12) — Definition of Property
This is especially relevant to our examination of private equity.
Congress defines property as:
“any present or future interest, whether legal or equitable, in real, personal (including choses in action), or mixed property, tangible or intangible, vested or contingent, wherever located and however held (including community property and property held in trust (including spendthrift and pension trusts))”
Significance: Congress expressly recognizes that property interests may be:
Legal or equitable.
Present or future.
Vested or contingent.
Tangible or intangible.
Held individually or in trust.
The inclusion of equitable interests is especially important. It confirms that the statutory definition of property extends beyond bare legal title and includes beneficial interests recognized in equity.
It does not, by itself, establish who owns a particular interest or whether an interest has been transferred.
