GRT Jewellers India Private Limited (GRT), a leading jewellery retailer, has signed a Share Purchase Agreement (SPA) to acquire a 74.12% stake in Tribhovandas Bhimji Zaveri Limited (TBZ) from its promoters for an aggregate value of up to ₹1,033.71 Crores. This strategic acquisition is poised to significantly expand GRT's pan-India presence, integrating TBZ's 37 stores into its network.
𝗞𝗲𝘆 𝗛𝗶𝗴𝗵𝗹𝗶𝗴𝗵𝘁𝘀:
- 𝗔𝗰𝗾𝘂𝗶𝘀𝗶𝘁𝗶𝗼𝗻 𝗗𝗲𝘁𝗮𝗶𝗹𝘀: GRT will acquire 74.12% of TBZ's promoter stake for up to ₹1,033.71 Cr. The deal is subject to regulatory approvals & customary closing conditions.
- 𝗢𝗽𝗲𝗻 𝗢𝗳𝗳𝗲𝗿: GRT will launch an open offer for an additional ~26% of TBZ's shares, in compliance with SEBI regulations.
- 𝗦𝘁𝗿𝗮𝘁𝗲𝗴𝗶𝗰 𝗥𝗮𝘁𝗶𝗼𝗻𝗮𝗹𝗲:
